Preamble
These Terms of Authorized Technical Usage and Identity Integrity (hereinafter referred to as "Terms") govern the access, utilization, and interaction with the S-Spel Global Infrastructure & Media Asset Repository (hereinafter referred to as "Repository") and all associated technical resources, documentation, and digital assets. By accessing or utilizing any component of the Repository, technical partners, entities, and individuals (hereinafter referred to as "Authorized Users") acknowledge and agree to be bound by these Terms. The primary objective of these Terms is to establish a framework for maintaining the highest standards of digital identity integrity, infrastructure security, and consistent technical representation of the S-Spel ecosystem. These Terms are designed to protect the authenticity and reliability of S-Spel's digital presence and ensure that all technical engagements align with established protocols and standards.
1. Definitions
- S-Spel Ecosystem: Refers to the entire network of digital platforms, services, applications, and infrastructure operated or authorized by S-Spel Global Infrastructure.
- Digital Assets: Includes, but is not limited to, visual identity kits, UI components, software libraries, documentation, media files, and any other digital content provided within the Repository.
- Identity Integrity: The state of being complete, uncorrupted, and authentic with respect to the digital identity of S-Spel infrastructure and assets.
- Authorized Use: Utilization of Repository resources strictly in accordance with these Terms and any specific guidelines provided for individual assets or documentation.
- Unauthorized Use: Any access, reproduction, modification, distribution, or display of Repository resources that is not expressly permitted by these Terms or specific authorizations.
2. Scope of Authorization
Access to and use of the Repository is granted solely for the purpose of facilitating technical integration, development, and verification activities in direct support of the S-Spel Ecosystem. Authorized Users are permitted to download, reproduce, and implement the provided Digital Assets and technical documentation for internal development, testing, and deployment of applications or services that are explicitly intended to interface with or represent S-Spel infrastructure. Any other use, including but not limited to commercial exploitation, redistribution without explicit consent, or use in a manner that misrepresents S-Spel's identity, is strictly prohibited. Authorization is non-transferable and revocable at the sole discretion of S-Spel Global Infrastructure upon any breach of these Terms.
3. Obligations of Authorized Users
Authorized Users shall:
- Adhere to Standards: Strictly comply with all technical specifications, guidelines, and standards provided within the Repository, particularly concerning digital identity, branding, and infrastructure interaction protocols.
- Maintain Integrity: Take all reasonable measures to preserve the identity integrity of S-Spel Digital Assets and infrastructure when integrating or displaying them. This includes refraining from any alteration, distortion, or misrepresentation of logos, trademarks, or other identifying elements.
- Verification Protocols: Implement and maintain verification protocols as outlined in the "Identity Specifications" and "Verification Guide" sections of this Repository to ensure interaction with legitimate S-Spel infrastructure and to detect unauthorized replicas.
- Security Best Practices: Employ industry-standard security best practices in all systems and applications that interact with the S-Spel Ecosystem, including secure coding, data protection, and access control.
- Reporting: Promptly report any suspected breaches of identity integrity, unauthorized use of S-Spel assets, or security vulnerabilities discovered within the S-Spel Ecosystem to the designated technical channels.
- Compliance with Updates: Ensure that all implementations and uses of S-Spel Digital Assets and technical resources are updated to reflect the latest versions and guidelines published in the Repository.
4. Prohibited Actions
Authorized Users are expressly prohibited from:
- Using S-Spel Digital Assets or technical resources in any manner that could imply endorsement, affiliation, or sponsorship where none exists.
- Attempting to reverse-engineer, decompile, or disassemble any software or technical components provided or referenced in the Repository, except where explicitly permitted by applicable law.
- Employing any automated means, including bots, crawlers, or scripts, to access or extract data from the Repository or S-Spel Ecosystem in a manner that circumvents standard access protocols or imposes an unreasonable load on infrastructure.
- Distributing, selling, or sublicensing any Digital Assets or technical documentation from the Repository to unauthorized third parties.
- Using any S-Spel trademarks, logos, or identifying marks in domain names, social media handles, or application names without explicit written permission.
- Engaging in any activity that could compromise the security, availability, or integrity of the S-Spel Ecosystem or its associated infrastructure.
5. Intellectual Property
All Digital Assets, documentation, trademarks, service marks, logos, and other intellectual property contained within the Repository are the exclusive property of S-Spel Global Infrastructure or its licensors. These Terms grant Authorized Users a limited, revocable, non-exclusive, non-transferable license to use such intellectual property solely for the purposes of Authorized Use. No ownership rights are transferred. Authorized Users shall not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from any materials obtained from the Repository.
6. Disclaimer of Warranties
The Repository and all its contents are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of technical information. S-Spel Global Infrastructure does not warrant that the Repository will be uninterrupted, error-free, or free from harmful components. Authorized Users assume all risks associated with the use of the Repository and its contents.
7. Limitation of Liability
To the maximum extent permitted by applicable law, S-Spel Global Infrastructure shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Repository; (b) any conduct or content of any third party on the Repository; (c) any content obtained from the Repository; and (d) unauthorized access, use, or alteration of your transmissions or content. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if S-Spel Global Infrastructure has been advised of the possibility of such damage.
8. Indemnification
Authorized Users agree to indemnify, defend, and hold harmless S-Spel Global Infrastructure, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms.
9. Modifications to Terms
S-Spel Global Infrastructure reserves the right to modify these Terms at any time. All modifications will be effective immediately upon posting to the Repository. Authorized Users' continued use of the Repository after any such modifications constitutes their acceptance of the revised Terms. It is the responsibility of Authorized Users to regularly review these Terms to stay informed of updates.
10. Governing Law
These Terms shall be governed by and construed in accordance with the technical laws and regulations applicable to S-Spel Global Infrastructure, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent technical courts.
